On March 14, 2025, Xponential announced a restatement of the Company’s 2023 financial statements. The 2023 restatement “corrects accounting errors primarily related to accrued inventory, 401(k) compliance, purchase accounting, and vendor rebates.” The Company stated that the “net impact of the 2023 corrections increased net loss from $1.7 million to $6.4 million, and decreased Adjusted EBITDA from $105.3 million to $100.3 million.” The Company also stated that “the details of the corrections of 2023 financials will be included in Company's Annual Report on Form 10-K for the year ended December 31, 2024 which the Company expects to file March 14, 2025.”
Following this news, the price of Xponential stock fell $4.66 per share, over 38%, to close at $7.46 per share on March 14, 2025.
